3. The Trade (Consideration)
The standard price for the services described above is [Standard price]. In place of that fee, Client agrees to provide Service Provider with 10 qualified referrals within the referral window defined below. No cash payment is due for the services as long as Client delivers the qualified referrals on the terms in this Agreement.
4. What Counts as a Qualified Referral
A qualified referral is a warm introduction — by email, text, or in person — from Client to a decision-maker at a business that fits this description: [who you want introduced to]. The introduction must give Service Provider the contact's name and a working way to reach them, and must let the contact know to expect Service Provider. A name with no introduction, an unreachable contact, or a business that does not fit the description above does not count toward the 10.
5. Referral Window
Client has 6 months from the Effective Date to deliver all 10 qualified referrals. The parties will keep a shared, simple count of referrals as they are made.
6. If Referrals Aren't Delivered
If, at the end of the referral window, Client has delivered fewer than 10 qualified referrals, the standard fee of [Standard price] becomes due, reduced pro-rata for the referrals actually delivered. (Example: on a 10-referral deal, delivering half the referrals reduces the fee by half.) This keeps the arrangement a clear business trade rather than a favor, and it is the only money that ever changes hands under this Agreement.
7. Scope and Revisions
The deliverables in Section 2 define the full scope of the free build. One round of reasonable revisions is included. Work requested beyond the listed deliverables is outside this Agreement and may be quoted separately at Service Provider's standard rates.
8. Delivery Timeline
Service Provider will begin work promptly after this Agreement is signed and will complete the deliverables in a commercially reasonable timeframe, subject to Client providing needed materials, access, and approvals without undue delay.
9. Term and Termination
This Agreement runs from the Effective Date until the later of (a) completion of the deliverables and (b) the close of the referral window. Either party may terminate for material breach with written notice and a reasonable chance to cure.
10. Independent Contractor
Service Provider is an independent contractor. Nothing here creates a partnership, employment, or joint venture between the parties.
11. Governing Law
This Agreement is governed by the laws of the State of [State], without regard to its conflict-of-laws rules.
12. Entire Agreement
This is the entire agreement between the parties on this subject and replaces any prior discussions. Changes must be in writing and signed by both parties.
